1. Introduction & Agreement

These Terms of Use ("Terms") constitute a binding legal agreement between you ("you", "your", "user") and the operators of Predex ("Predex", "we", "us", "our", "the Platform"), accessible at predexmarkets.com.

By accessing, browsing, connecting a wallet, registering an account, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the Binding Arbitration Agreement and Class Action Waiver in Section 18.

If you do not agree to these Terms, you are not authorized to use the Platform and must immediately discontinue access.

2. Nature of the Platform

Predex is an informational and technology platform that facilitates skill-based prediction markets across categories including politics, sports, cryptocurrency, technology, entertainment, world events, and economics.

The Platform aggregates collective forecasting through user-generated predictions on real-world future events. Users analyze available information and forecast outcomes on a YES/NO basis.

Prediction markets are distinct from gambling: they reward analytical skill, research, and informed forecasting rather than games of chance. Market prices reflect collective wisdom about the probability of real-world outcomes, similar to established prediction market platforms like Polymarket, Kalshi, and PredictIt.

The Platform provides information tools only. All decisions to participate, how much to stake, and which markets to engage with are entirely self-directed by users.

3. Eligibility & Your Representations

By using the Platform, you represent and warrant that:

• You are at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is higher)
• You have the legal capacity to enter into binding agreements
• Your use of the Platform is lawful in your jurisdiction — you alone are responsible for determining this
• You are not on any sanctions list (OFAC, EU, UN, UK, or similar)
• You are not using the Platform for money laundering, terrorism financing, tax evasion, or any illegal purpose
• The information you provide to the Platform is accurate, current, and complete
• You understand the financial risks of prediction markets and cryptocurrency
• You have sufficient knowledge and sophistication to engage with blockchain technology and cryptoassets

4. How the Platform Works

Predex facilitates skill-based predictions on real-world events:

• You browse available markets across various categories
• You review market rules, resolution criteria, and AI-generated probability estimates
• You choose to predict YES or NO based on your own analysis
• You commit funds (USDT on BNB Chain) to your prediction
• If your prediction is correct, you receive a payout up to 1.95x your stake
• If incorrect, your staked funds contribute to the winners' payout pool
• Markets resolve via Chainlink Oracle (crypto), sports APIs (sports), or manual verification against authoritative sources (political/news events)

5. Self-Directed Participation

All actions taken on the Platform are self-directed by you. The Platform:

• Does not provide investment, financial, legal, tax, or professional advice
• Does not recommend specific predictions, strategies, or outcomes
• Does not guarantee any returns, profits, or specific outcomes
• Does not act as your fiduciary or advisor
• Provides tools and information only; all decisions are entirely yours

AI-generated probability estimates, news feeds, analytics, and market data on the Platform are for informational purposes only and should never be relied upon as investment or financial advice.

6. Funds, Deposits & Withdrawals

The Platform operates using USDT (BEP-20) on the BNB Chain network:

• Deposits are irreversible once confirmed on the blockchain
• You are solely responsible for sending funds to the correct network and address
• We are not liable for losses from incorrect networks, wrong addresses, or user error
• Minimum withdrawal: 1 USDT; network gas fees apply
• MetaMask wallet users maintain full custody of their funds
• Email-registered users have funds held in managed platform wallets for convenience; you may withdraw at any time
• We reserve the right to delay or pause withdrawals in cases of suspected fraud, security threats, or regulatory inquiries

7. Fees

Platform fees are transparent and disclosed at the time of each transaction:

• 3-Minute Crypto Markets: 1.5% fee on winnings
• Event Markets: A modest platform fee is deducted from market pools to sustain operations
• Network Fees: BNB Chain gas fees apply to blockchain transactions (typically under $1)
• No Hidden Fees: We do not charge deposit, registration, or inactivity fees

8. Market Resolution

Markets resolve based on pre-defined rules displayed at market creation:

• Crypto price markets: Resolved automatically via Chainlink Oracle price feeds
• Sports markets: Resolved automatically via verified sports data APIs
• Political, news, and event markets: Resolved manually by verifying outcomes from authoritative sources specified in each market

If a market becomes unresolvable (event cancelled, outcome indeterminable, ambiguous resolution criteria), we reserve the right to cancel the market and refund all participants.

Dispute Process: If you believe a market was resolved incorrectly, email predexmarkets@gmail.com within 7 days of resolution with supporting evidence. We will review disputes in good faith, but our final decision is binding, subject to arbitration.

10. Prohibited Activities

You agree not to:

• Use the Platform for money laundering, terrorism financing, fraud, or any illegal activity
• Manipulate markets through wash trading, collusion, spoofing, or coordinated action
• Trade on the basis of material non-public or insider information
• Use bots, scripts, or automated tools without authorization
• Create multiple accounts to circumvent limits or exploit promotions
• Impersonate others or provide false information
• Attempt to hack, reverse engineer, or exploit the Platform
• Post abusive, illegal, defamatory, or harmful content
• Interfere with the Platform's operation or security
• Scrape or harvest data from the Platform without authorization
• Use the Platform from a jurisdiction where prediction markets are prohibited

Consequences: Violations may result in account suspension, termination, forfeiture of funds to the extent permitted by law, cooperation with law enforcement, and legal action.

11. Tax Responsibility

You are solely responsible for determining and paying all taxes applicable to your activity on the Platform. We do not provide tax advice and do not withhold or report taxes. Consult a qualified tax professional regarding your obligations in your jurisdiction.

12. Intellectual Property

All content on the Platform — including logos, designs, code, software, text, and branding — is owned by Predex or its licensors and protected by intellectual property laws.

You are granted a limited, non-exclusive, revocable, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, reverse engineer, distribute, or commercially exploit any content without written permission.

13. User-Generated Content

By posting comments or content on the Platform, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, modify, display, and distribute such content in connection with operating and promoting the Platform.

You represent that you own or have rights to all content you post. We reserve the right to remove any content at our discretion.

14. Third-Party Services

The Platform integrates with third-party services including BNB Chain, Chainlink Oracle, CoinMarketCap, news APIs, and email providers. We do not control these services and are not responsible for their availability, accuracy, or security.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability, fitness for a particular purpose, or non-infringement
• That the Platform will be uninterrupted, secure, or error-free
• That defects will be corrected
• That any content, data, or AI predictions are accurate or complete
• That third-party services will function without interruption

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenues, or opportunities
• Loss or corruption of data
• Damages from blockchain network issues or third-party failures
• Damages from unauthorized access to your account or wallet
• Damages from market volatility
• Any user error, including sending funds to wrong addresses
• Regulatory actions affecting the Platform

AGGREGATE LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED USD $100 OR THE TOTAL FEES YOU HAVE PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM, WHICHEVER IS GREATER.

17. Indemnification

You agree to defend, indemnify, and hold harmless Predex and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; (d) your violation of any applicable laws; (e) any content you submit.

18. Dispute Resolution & Binding Arbitration

READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through:

1. Informal Resolution (Mandatory First Step): Contact predexmarkets@gmail.com with "Dispute" in the subject. We will attempt good-faith resolution within 60 business days.
2. Binding Individual Arbitration: If informal resolution fails, disputes shall be resolved through binding individual arbitration, not in court, not as a class action.
3. Class Action Waiver: You waive rights to class actions, collective actions, or representative proceedings, and waive your right to a jury trial.

Arbitration shall be conducted under established international arbitration rules. This provision does not apply to intellectual property claims, small claims matters, or emergency injunctive relief.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Continued use after changes constitutes acceptance. If you do not agree to updated Terms, you must discontinue use immediately.

20. Termination

We may suspend, restrict, or terminate your account at our sole discretion for violations of these Terms, suspected fraud, regulatory requirements, or operational reasons. You may close your account at any time by contacting support. Upon termination, remaining funds (minus disputed amounts or applicable fees) will be returned to a verified wallet address.

21. General Provisions

• Governing Law: These Terms are governed by principles of international commercial law.
• Entire Agreement: These Terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement.
• Severability: If any provision is unenforceable, the remainder remains in force.
• No Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms; we may assign freely.
• Force Majeure: We are not liable for delays due to events beyond our reasonable control.
